1. Service Description

This platform ("Service") provides document management, search functionality, and data analytics capabilities. The Service is provided by ComplyGraph LLC ("we," "us," "our") and is intended for business and professional use only.

2. User Registration and Access

2.1. The Service is available only to authorized business entities and their representatives. 2.2. Users must be at least 18 years old and have the authority to bind their organization to these terms. 2.3. Organizations must designate administrators who will manage user access and permissions. 2.4. Each user must maintain the confidentiality of their credentials.

3. Subscription and Payment

3.1. Access to the Service requires a valid subscription. 3.2. Fees are based on subscription tier and usage levels. 3.3. All fees are exclusive of applicable taxes. 3.4. Payment terms are net 30 days unless otherwise specified.

4. Data Rights and Usage

4.1. Customer Data Ownership

• Customers retain all rights to their uploaded content and data

• We claim no ownership over customer-uploaded documents or derived data

• Customer data will only be used to provide and improve the Service

  4.2. Data Processing

• Documents will be processed to generate embeddings and extractions

• Search results may include data from public documents

• Processing includes vector embedding generation and text analysis

  4.3. Data Retention

• Customer data is retained for the duration of the subscription

• Data deletion procedures begin 30 days after subscription termination

• Backup copies may be retained for up to 90 days

5. Security and Compliance

5.1. We implement reasonable security measures to protect customer data 5.2. Users must comply with all applicable laws and regulations 5.3. Financial institutions must ensure compliance with relevant regulatory requirements

6. Service Level Agreement

6.1. We target 99.9% uptime for core services 6.2. Scheduled maintenance will be announced at least 48 hours in advance 6.3. Support response times vary by subscription tier

7. Limitation of Liability

7.1. Service is provided "as is" without warranties of any kind 7.2. Maximum liability limited to fees paid in previous 12 months 7.3. No liability for consequential damages

8. Term and Termination

8.1. Month-to-month or annual terms available 8.2. Either party may terminate with 30 days notice 8.3. Immediate termination available for material breach
